Florida Sunbiz annual report is a May first calendar

A Florida business annual report is not a financial report; it is the yearly Sunbiz filing that keeps the state record current and active.

The Florida annual report sounds like accounting. It is really a state record check.

For many Florida business entities, the Sunbiz annual report updates or confirms the state record. It is not a profit-and-loss statement. It is more like saying, “Here is the business name, address, managers, registered agent, and status the state should show right now.”

The filing window runs from January 1 through May 1. Filing after May 1 can add a $400 late fee for many common business types, including profit corporations and LLCs. Nonprofit corporations have a different late-fee rule, so check the current Sunbiz page before assuming the same rule applies.

Treat Sunbiz like a spring calendar item. Put the annual report next to insurance, tax, license, and registered agent checks. Save the receipt and a copy of the filed report.

This is one of those small Florida business chores that can feel bigger if it gets missed. A short January or February check can keep the May 1 deadline from sneaking up during the busy season.
